Terms of Service — JellyJelly

1. ACCEPTANCE OF THESE TERMS

By accessing or using JellyJelly (the "Platform" or "Service"), you agree to this User Agreement and our Privacy Policy. If you do not agree, do not use the Service.

2. ELIGIBILITY

You must be at least 13 years old to use JellyJelly. If you are under 18, you may only use JellyJelly with permission from your parent or legal guardian, and your parent or guardian agrees to be responsible for your use of the Service. You may not use JellyJelly if you are prohibited from receiving services under applicable law.

3. YOUR ACCOUNT

You are responsible for your account credentials and all activity under your account. You agree to provide accurate information, keep your account secure, and not impersonate others or bypass safety or enforcement systems. We may suspend, restrict, or terminate accounts that violate these Terms or create legal, security, or operational risk.

4. YOUR CONTENT: OWNERSHIP + LICENSE

You keep ownership of the content you create and post ("User Content"). By posting content, you grant JellyJelly a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, process, reproduce, distribute, display, and adapt your content only as needed to run, improve, and promote the Service.

Public content: if your content is public, you allow us to use it in marketing and promotion anywhere, including outside JellyJelly (for example: social media, ads, websites, events, and press materials), without additional compensation.
Private content: private content remains yours. We use it only to provide and secure the Service and to comply with legal obligations.

You represent that you have all rights and permissions needed for your User Content, including consent from people appearing in your content where required by law.

5. LEGAL REQUESTS, SUBPOENAS, AND GOVERNMENT DEMANDS

We may preserve, access, and disclose account information or content (including private content) when we reasonably believe it is required by law, subpoena, court order, legal process, or to protect rights, safety, and the integrity of the Service.

To the extent legally permitted, we may notify you before disclosure. We may also challenge overbroad or invalid legal demands where appropriate, but we are not required to do so in every case.

6. COMMUNITY SAFETY AND PROHIBITED CONTENT

JellyJelly is for real people sharing real moments. You may not post, share, or promote harmful, hateful, violent, exploitative, abusive, illegal, deceptive, or otherwise unsafe content. You may not engage in harassment, doxxing, threats, fraud, impersonation, scams, spam, malware, account manipulation, or any conduct that harms users or the platform.

We may remove content, limit distribution, suspend features, or terminate accounts at our discretion to enforce these Terms and protect users.

7. CRYPTO ON JELLYJELLY

7.1 CRYPTO FEATURES

JellyJelly includes a built-in DeFi (Decentralized Finance) wallet that may support sending, receiving, and swapping crypto assets, including tipping functionality. The JellyJelly wallet interacts directly with decentralized protocols on the Solana blockchain — no centralized exchange or intermediary holds your funds. Crypto features may be modified, limited, or discontinued at any time.

7.2 WALLET OWNERSHIP AND CUSTODY

The JellyJelly wallet is a non-custodial DeFi wallet. You own your wallet and are solely responsible for your wallet activity. JellyJelly does not take ownership or custody of your wallet assets. We hold an encrypted private-key backup solely as an account-recovery convenience. You may request your private key by contacting us.

7.3 RISK DISCLOSURE

All crypto activity is at your own risk. Prices and liquidity are volatile. Transactions on blockchain are irreversible. We are not responsible for trading losses, transfer errors, hacks, protocol failures, market events, tax outcomes, or third-party platform actions related to your crypto use.

7.4 NO INVESTMENT OR PLATFORM EQUITY RIGHTS

Crypto assets and memes on JellyJelly, including Jelly-My-Jelly, are for community utility (such as tipping and engagement) and do not represent shares, equity, ownership, voting rights, or any other stake in Smalltalk Fam, Inc. (d/b/a JellyJelly Inc.). They are not bank deposits, and not guaranteed by us.

7.5 THIRD-PARTY SERVICE PROVIDERS

JellyJelly integrates with the following third-party infrastructure providers on the Solana blockchain. JellyJelly does not control, audit, or guarantee the availability, accuracy, or performance of any third-party service. Your use of features that rely on these providers is at your own risk.

Jupiter — a decentralized exchange aggregator used to provide in-app token swap functionality. JellyJelly is not itself a cryptocurrency exchange. Helius — a Solana RPC (Remote Procedure Call) provider used to read and submit transactions on the Solana blockchain. Public API documentation: https://docs.helius.dev.
Jito — used for MEV (Maximal Extractable Value) protection when submitting transactions, helping shield users from front-running and sandwich attacks. Public documentation: https://www.jito.wtf/docs.

7.6 NOT FINANCIAL ADVICE

JellyJelly is not a broker, investment adviser, exchange, or fiduciary, and does not provide financial, tax, or legal advice.

8. INACTIVE ACCOUNTS, USERNAMES, AND ESCROW

If your account is inactive for a prolonged period (for example, 24 months), we may place account-related identifiers, usernames, and platform-controlled balances or benefits into administrative escrow and later reclaim, recycle, or return them to the company after notice, where allowed by law.

For clarity: non-custodial wallets and assets that you exclusively control on-chain are not automatically transferable to us. If you lose access to your wallet and do not use available recovery methods, those assets may become permanently inaccessible.

9. PLATFORM LICENSE AND INTELLECTUAL PROPERTY

We own the Service and all related software, design, trademarks, and other intellectual property, except your User Content. We grant you a limited, revocable, non-transferable license to use the Service in accordance with these Terms. You may not copy, reverse engineer, scrape, or misuse the Service or our IP.

10. FEES, TAXES, AND THIRD-PARTY SERVICES

You are responsible for any fees, gas costs, taxes, and charges associated with your use of the Service, including third-party payment processors, app stores, and blockchain networks. Third-party services are governed by their own terms, and we are not responsible for them.

11. DISCLAIMERS

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY, AND SECURITY.

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JELLYJELLY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) USD $100 OR (B) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM.

13. INDEMNIFICATION

You agree to indemnify and hold harmless JellyJelly and its officers, directors, employees, and affiliates from claims, liabilities, damages, and expenses arising from your content, your use of the Service, your crypto activity, or your violation of these Terms or applicable law.

14. ARBITRATION, CLASS ACTION WAIVER, AND GOVERNING LAW

If you are in the United States, disputes will be resolved by binding individual arbitration (not court), except for small claims and qualifying injunctive relief. You and JellyJelly waive any right to a jury trial and class actions. You may opt out of arbitration within 30 days of first accepting these Terms by emailing legal@jellyjelly.com with your account details and opt-out request.

California law governs these Terms, except where federal law (including the Federal Arbitration Act) applies. Venue for non-arbitrable disputes is San Francisco County, California, unless applicable law requires otherwise.

15. TERMINATION

We may suspend or terminate your access at any time if we believe you violate these Terms or create risk for users, the platform, or third parties. Sections that by nature should survive termination will survive, including content licenses, disclaimers, limitations of liability, indemnification, dispute terms, and legal compliance provisions.

16. CHANGES TO THESE TERMS

We may update these Terms from time to time. If changes are material, we will provide reasonable notice (for example, by posting an updated date, in-app notice, or email). Changes become effective when posted unless otherwise stated. Your continued use of JellyJelly after changes take effect means you accept the updated Terms.

ACKNOWLEDGMENT

By using JellyJelly, you confirm that you have read and understood these Terms, that you are at least 13 years old, and that if you are under 18 you have parental or guardian permission to use the Service.
