JELLYJELLY USER AGREEMENT

1. ACCEPTANCE OF TERMS

By using JellyJelly (the “Platform” or “Service”), you agree to this User Agreement. JellyJelly (“Company,” “we,” “us”) may modify this Agreement with 30 days’ notice. Continued use constitutes acceptance.

2. ELIGIBILITY

You must be 13+ years old (or your jurisdiction’s minimum digital consent age). Users under 18 need parental consent. You agree to provide accurate registration information, maintain account security, and not create multiple accounts or impersonate others.

3. USER CONTENT

You grant JellyJelly a worldwide, royalty-free, perpetual, sublicensable license to use, modify, distribute, and display your content for:

Platform operations, feed display, and algorithmic recommendations
API access and third-party integrations
Reposts on other platforms (Instagram, TikTok, YouTube, Twitter/X, etc.)
Marketing, promotions, and product development

You warrant you own your content and have necessary consents. Removal requests: legal@jellyjelly.com.

4. JELLY-MY-JELLY MEMECOIN

4.1 NOT AN INVESTMENT

JELLY-MY-JELLY IS A MEMECOIN FOR ENTERTAINMENT AND SOCIAL ENGAGEMENT ONLY—NOT A SECURITY, CURRENCY, OR INVESTMENT.

Jelly-My-Jelly is not: a financial instrument, money, compensation, equity, tradable security, or backed by any asset.

4.2 HOWEY TEST COMPLIANCE

Not a security under Howey (15 U.S.C. § 77a): no money invested, no common enterprise, no profit expectation, no managerial efforts.

4.3 CONVERSION

Jelly-My-Jelly MAY convert to SOL/USDC/USDT/DAI via third-party Exchange Partners—optional, not guaranteed, subject to KYC/AML, fees, volatility, and geographic restrictions. You handle all taxes.

4.4 NO GUARANTEES

Jelly-My-Jelly has no guaranteed value, may expire/forfeit, is non-transferable without permission, no fiat conversion. PROVIDED “AS IS.”

4.5 NOT FINANCIAL ADVICE

JellyJelly is not a broker, advisor, or money transmitter. Consult professionals for tax/legal guidance.

5. ARBITRATION & DISPUTE RESOLUTION

5.1 MANDATORY ARBITRATION

ALL DISPUTES SHALL BE RESOLVED BY BINDING ARBITRATION, NOT COURT. Governed by the Federal Arbitration Act (9 U.S.C. § 1). Administered by JAMS or AAA.

5.2 CLASS ACTION WAIVER

ALL DISPUTES ARE INDIVIDUAL ONLY. CLASS ACTIONS ARE PROHIBITED.

5.3 PROCEDURES

JellyJelly pays arbitration fees exceeding court filing fees. Arbitration occurs in your county or via videoconference.

5.4 OPT-OUT

Opt out within 30 days by emailing legal@jellyjelly.com with your name, email, phone, username, and opt-out statement.

5.5 EXCEPTIONS

Small claims court and IP injunctions are exempt.

5.6 JURY WAIVER

BOTH PARTIES WAIVE JURY TRIAL RIGHTS.

5.7 TIME LIMIT

Claims must be filed within 1 year.

6. INTELLECTUAL PROPERTY

JellyJelly owns all Service IP (excluding User Content). No reproduction, modification, or reverse-engineering without consent. Report DMCA violations to copyright@jellyjelly.com.

7. PROHIBITED CONDUCT

No: illegal activity, harassment, explicit/harmful content, fraud, spam, reward manipulation, money laundering, security interference, or unauthorized bots.

8. LIMITATION OF LIABILITY

JELLYJELLY IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. Maximum liability: $100 or 12 months’ fees paid, whichever is greater.

9. DISCLAIMERS

SERVICE PROVIDED “AS IS” WITHOUT WARRANTIES. No guarantees of availability, security, accuracy, or Jelly Point value. USE AT YOUR OWN RISK.

10. GOVERNING LAW

California law governs (FAA governs arbitration). Non-arbitrated disputes: San Francisco County courts. California Residents: 30-day arbitration opt-out, small claims access, CLRA protections apply.

11. SEVERABILITY

Unenforceable provisions will be modified minimally or severed. Remaining terms stay valid.

12. PRIVACY

Use subject to our Privacy Policy. You consent to data collection as described therein.

13. CHILDREN’S PRIVACY

COPPA compliant. Parental consent required for users under 13. Contact privacy@jellyjelly.com for child data requests.

14. TERMINATION

JellyJelly may terminate accounts anytime. Sections 3–6, 8–9, and 11 survive termination.

User Content: User-uploaded videos, images, text, metadata

Jelly-My-Jelly: Rewards system for posting content

Exchange Partners: Third-party crypto exchanges for point conversion

ACKNOWLEDGMENT

By using JellyJelly, you acknowledge you have read, understood, and agree to this Agreement, waive class action rights, and may opt out of arbitration within 30 days.
